The weplay.com Pop Warner Promotion ("Promotion") includes (2) participatory channels, each extended to weplay members whose personal profiles are a part of the weplay.com Pop Warner Cheer & Dance and/or Pop Warner Football (collectively, "Pop Warner") Group and/or League/Association communities as described below. The Promotion will be administered by Sponsor & its designated representatives whose decisions will be final & binding in all matters relating to this Promotion.

Eligibility: The Promotion is open to weplay.com members ("member(s)") who are officials, coaches, authorized representatives, parents and/or children, six (6) years of age or older, each of whom is a legal resident of the 50 United States or District of Columbia, & is enrolled in Pop Warner prior to 9/9/08. Eligible minors must obtain their parent's or legal guardian's consent prior to registration and/or participation. If you are not a registered member of weplay.com, registration is free. To register, visit weplay.com complete the weplay member account fields according to the instructions provided. As part of the registration process, if you are 13 years of age or older, you may be asked if you wish to consent to receive promotional emails. Consenting to receive promotional emails is optional, does not impact your chances of winning & is not required for membership. Free Internet access is available at many public libraries. Employees, officers, directors, agents & representatives of weplay, Inc. ("Sponsor"), Pop Warner Little Scholars, Inc., Project Support Team, Inc. ("P/S/T"), & any of their respective parent companies, affiliates, distributors, subsidiaries, & advertising/promotion agencies (collectively, "Released Parties") & members of the immediate family (mother, father, brothers, sisters, sons, daughters & spouse, regardless of where they reside) & household members of any such individual, whether or not related, are not eligible to participate. This Promotion is subject to all applicable federal, state, & local laws & regulations. Void where prohibited by law.
Promotion Period & How to Participate: Promotion begins at 12:00:01PM Eastern Time ("ET") on 9/9/08 & ends at 11:59:59AM ET on 11/19/08 ("Promotion Period") for (2) two online weplay.com communities:

1. Pop Warner Football Team/Cheer & Dance Squad ("Group"). As a member, add your Pop Warner Team/Squad as a Group in your personal Profile in accordance with the instructions provided.
2. Pop Warner League/Association ("League"). As a League with active members, visit the Pop Warner Group Profile & link your League in accordance with the instructions provided.

Once Groups are added & Leagues are linked as described above, you may actively participate with weplay.com Group & League pages throughout the Promotion Period by customizing page(s), uploading new photos & videos, contributing news, participating in discussions, & updating calendar. Any content deemed by the Sponsor and/or judges to be immoral, obscene, profane or not in keeping with Sponsor's image or in violation of these Official Rules will be void. The Group and/or League associated with member participation based on Sponsor's registration system will be deemed the Promotion participant (regardless of Pop Warner records at the time of winner selection). Proof (to Sponsor's satisfaction) of being an authorized Group and/or League may be required by Sponsor, in Sponsor's sole discretion. If a dispute as to the identity of a Group and/or League cannot be resolved to Sponsor's satisfaction, their participation will be deemed ineligible. The use of automated participation devices is prohibited. All material and/or content submitted in connection with this Promotion must comply with weplay.com's Terms of Use & other guidelines provided on the site related to content submission. All materials and/or content must by submitted by 11:59:59AM ET on 11/19/08 to be considered.

Group Judging: Throughout the Promotion Period, Cheer & Dance Squad & Football Team participation will be judged separately by a panel of judges ("judges"), whose determinations will be final & binding in all matters relating to this Promotion. Certain Groups may be identified by judges with a Digital Badge ("Badge") based on exemplary performance per the below criteria. Badge postings (if any), including, but not limited to, posting time, are subject to change at Sponsor's sole discretion & will not be a factor in judging and/or winner selection for this Promotion as described below. Judging & Badge awards (if any) will be based on the following criteria: Groups with members who collectively demonstrate the highest level of participation via page 1) Customization, 2) New Photos & Video Uploads, 3) News Contribution, 4) Discussion Participation, 5) Calendar Usage & 6) Percentage of Member Participation per Team and/or Squad (collectively, "Group Judging Criteria"). At the conclusion of the Promotion Period, the Team & Squad with the highest activation & site participation based on Group Judging Criteria will be declared the Group Prize winners, for Team & Squad, respectively. In the event of a tie between any Team and/or Squad, a tiebreaker will be conducted based on the highest level of Customization to identify the applicable Team and/or Squad Prize winner. If a tie still exists, from among remaining pool of tied Teams and/or Squads, the greatest level of New Photos & Video Uploads, & then News Contribution (if & as necessary to break tie), will be declared the winner. Group Prize winners will be selected by judges on/about 11/26/08 & will be notified by P/S/T by telephone, email, and/or overnight mail. If any Team and/or Squad Prize winner cannot be contacted, does not return an email and/or phone call or correspondence from P/S/T within 24 hours following attempted notification, or fails to comply with these Official Rules, the verification process and/or eligibility requirements, that potential Team and/or Squad Prize winner (as applicable) may be disqualified as described below. If mailed notification is returned as undeliverable, a runner-up may be selected, at Sponsor's sole discretion.

(1) Cheer & Dance Squad Prize: $1,000 Squad grant, awarded in the form of a check on behalf of the winning Cheer & Dance Squad (Approximate Retail Value "ARV"= $1,000).
(1) Football Team Prize: A Team clinic attended by superstar Shaun Alexander. Prize will consist of approximately 1-hour of group & personal instruction, drills, & chalk talk for active Pop Warner Team members at time of winner selection between the ages of 5 & 16 at or near Team's primary practice location in the US. Team will be responsible for providing practice location on a date & for a duration of time designated by Sponsor (ARV= $2,500). Exact date of clinic will be determined solely by Sponsor. In the event that Team is unable to host and/or attend clinic on date designated by Sponsor, said Team will forfeit the prize &, time permitting, an alternate winner may be identified. Clinic attendees responsible for transportation to/from clinic. Parents and/or legal guardians of minor participants must remain on-site for the duration of the clinic as spectators. If any prize-related activity(s) or appearance of Shaun Alexander is canceled or postponed for any reason, no compensation or substitution will be provided; however, balance of prize will be awarded in full satisfaction of prize award & Sponsor will have no further obligation to Team. Exact time, duration & nature of Shaun Alexander's appearance is at Sponsor's sole discretion & subject to availability. Sponsor reserves the right to record & videotape the clinic & interview attendees, & use said recordings in any & all media now known or hereafter created throughout the world in perpetuity ("Footage"). Clinic may not otherwise be recorded, photographed or videotaped by attendees for any commercial purpose whatsoever. Attendees agree not to act in an unsportsmanlike or disruptive manner, or with any intent to annoy, abuse, threaten or harass any other person at the clinic. Attendee(s) will be escorted out of the clinic by Sponsor or its designated agent(s) for improper conduct and/or violation of federal, state or local laws (including, but not limited to, the unlawful possession, use, or distribution of illicit drugs, unlawful drug paraphernalia, & alcohol) & will forfeit the balance of clinic.

Association Judging: Throughout the Promotion Period, Association participation will evaluated by the judges across both Cheer & Dance Squads & Football Leagues. Judging will be based on the following criteria: Leagues with Squads or Teams who collectively demonstrate the highest level of participation via 1) Number of cumulative links off of their Association Page to active Team Profiles ("Cumulative Links"), 2) Number of cumulative League photos & video uploads ("Cumulative Photos/Videos"), 3) Level of Association news contributions, 4) Amount of cumulative League discussions, 5) Level of League Calendar Usage, & 6) Percentage of Team and/or Squad Participation per Association (collectively, "Association Judging Criteria"). At the conclusion of the Promotion Period, the Leagues with the highest activation & site participation based on Association Judging Criteria will be declared the League Prize winners. In the event of a tie, a tiebreaker based on the highest level of Cumulative Links will be conducted to identify the applicable Association Prize winner. If a tie still exists, from among the remaining pool of tied Associations, the highest number of Cumulative Photos/Videos, & so forth (if & as necessary to break tie), will be used to declare the winner. Association Prize winners will be selected by judges on/about 11/26/08 & will be notified by P/S/T by telephone, email, and/or overnight mail.

(5) Association Prizes: $1,000 Association grant, awarded in the form of a check to the winning Association (ARV= $1,000).
Total ARV of all prizes: $8,500. Prize details are at Sponsor's sole discretion. Other than as specified above, the selection process & application of the above Judging Criteria will be at Sponsor's sole discretion. Federal, state, & local taxes & all other costs & expenses associated with prize acceptance & use not specified herein as being provided & associated IRS Form 1099-MISC submission as required by law are each winner's sole responsibility.
Sponsor reserves the right to remove from the Promotion, at any time, any material, in whole or in part, that does not comply with these Official Rules & revoke membership. Released Parties are not liable in any way for any content provided by a participant, including, but not limited to, any errors or omissions in such content, or any loss or damage of any kind incurred as a result of the review and/or use of such content. Participation in weplay.com's Pop Warner online communities constitutes your (&, if an eligible minor, your parent's or legal guardian's) consent to participate in this Promotion & your (&, if an eligible minor, your parent's or legal guardian's) consent for Sponsor to obtain, use, & transfer associated names, addresses & other information for the purpose of administering this Promotion & as otherwise specified herein. Released Parties are not responsible for lost, incomplete, illegible, incorrect, delayed, undelivered, misdirected, late, stolen, or mutilated content; theft, destruction or unauthorized access to, or alteration of, content; failures or malfunctions of phones, phone lines or telephone systems; interrupted or unavailable network, server or other connections; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer related to or resulting from Promotion participation; typographical, printing or other errors or omissions in these Official Rules, in any Promotion-related advertisements or other materials; human-processing error; or other problems or errors of any kind whether computer, network, mechanical, human, electronic, typographical, printing, downloading, or otherwise relating to or in connection with the Promotion, including, without limitation, errors or problems which may occur in connection with the administration of the Promotion, in the processing of content, in the selection or announcement of winners or in the awarding of prizes. Sponsor reserves the right, in its sole discretion, to void any & all content of a member, Group, and/or League (& disqualify associated parties) who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper play of this Promotion or who is otherwise in violation of these Official Rules.

Miscellaneous: No transfer, assignment, cash redemption, or substitution of a prize (or portion thereof) except by Sponsor at its sole discretion due to prize unavailability or causes otherwise determined solely by Sponsor, & then for a prize (or applicable portion thereof) of equal or greater value. Potential winners will be required to execute & return a notarized Affidavit of Eligibility, Liability Release & (where legal) Publicity Release within (5) days of date of issuance of notification. Clinic attendees (if a minor, their respective parent or legal guardian) will be required to sign & return a Liability Release & (where legal) Publicity Release prior to clinic participation. Non-compliance with any of the foregoing or with these Official Rules may result in disqualification & awarding of the prize to an alternate winner as determined by Sponsor. By participating, members (if a minor, their respective parents or legal guardians), Groups and/or Leagues agree to be bound by these Official Rules & the decisions of Sponsor & judges & agree that: 1) Sponsor & their designees & assigns: a) shall own content submitted in conjunction with this Promotion (& all content embodied therein) & shall have the perpetual, worldwide right to edit, publish, exploit & use content (or any portion thereof) in any way & in any media for advertising and/or trade purposes and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification from/to entrant, winner, or any 3rd Party; 2) Released Parties & their designees & assigns shall have the right & permission to use (unless prohibited by law) their name, voice, city/state/location of residence and/or operations, biographical information, photograph, Footage, and/or likeness for advertising and/or trade and/or any other purpose in any media or format, online or offline, now or hereafter known worldwide in perpetuity, without further compensation, permission, or notification; & 3) Released Parties & their designees & assigns shall have no liability & will be held harmless for any claim, liability, loss, injury or death to members or any other person, including, without limitation, damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize (including any prize activity related thereto) or participation in this Promotion. Sponsor reserves the right, in its sole discretion, to disqualify any member & to modify, terminate or suspend this Promotion should virus, bugs, non-authorized human intervention, action of entrants, or other causes corrupt or impair the administration, security, fairness or proper play of the Promotion &, if the Promotion is terminated, identify winners from those eligible, non-suspect entries received prior to event requiring such termination using the judging procedure set forth above.
